These Terms of Service (the "Terms") govern your access to and use of the nohup& website and your purchase of nohup& products (the "Product"). Please read them carefully. By placing an order or using the site, you agree to these Terms.

- By accessing this website, placing a pre-order, or purchasing the Product, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not place an order or use the site.
2. Who we are
"nohup&", "we", "us", and "our" refer to the business operating the nohup& brand and this website. You can reach us at said@beronel.com for any questions about these Terms or your order.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract to place an order. By ordering, you represent that the information you provide is accurate and that you are authorized to use the payment method supplied.
4. The Product & descriptions
The Product is a carry bag designed to transport a laptop. We work to describe and depict the Product accurately, including on-site imagery, 3D renders, and animations. Renders and prototypes are illustrative; the final Product may differ in minor details such as color, finish, hardware, or dimensions as the design is finalized for manufacture. Product compatibility (for example, laptop sizes) is provided as guidance and is not a guarantee that any specific device will fit or perform as expected.
No professional guarantee. The Product is a passive carry accessory. Statements about airflow, cooling, or carrying a device while it runs describe the intended design and are not a promise of any specific thermal result, and are not a substitute for the device manufacturer's own guidance. You are responsible for how you use your own equipment.
5. Pre-orders
The Product is currently offered on a pre-order basis before it is in stock. Pre-orders are pay-in-full: you pay the full price at checkout to reserve your unit, and your order ships with the production run. There is no deposit or later balance.
Placing a pre-order does not guarantee availability of a unit if manufacturing is delayed, reduced, or cancelled. If we are unable to fulfill your pre-order, your sole remedy is a full refund of the amount you paid, as described in Section 8.
6. Pricing, taxes & payment
Prices are shown in U.S. dollars and may change at any time before you place an order. The price that applies to your order is the price displayed at checkout when you complete it. You are responsible for any applicable taxes, duties, or import fees, which may be calculated at checkout or collected on delivery depending on your location.
Checkout and payment are handled by Shopify (via Shopify's hosted checkout and Shopify Payments). By paying, you agree to Shopify's terms. We do not receive or store your full card details.
7. Shipping & delivery estimates
Any ship or delivery dates shown on the site or in communications are good-faith estimates, not guarantees. Pre-order and manufactured goods can be affected by production, supply-chain, and carrier delays, and your unit may arrive earlier or later than estimated.
Your right to cancel on delay. If we cannot ship within the estimated window and you have already been charged, we will notify you and you may cancel your order for a full refund of amounts paid, consistent with applicable consumer-protection law (including U.S. FTC pre-order/mail-order rules).
Risk of loss passes to you upon delivery to the carrier. Please provide an accurate shipping address; we are not responsible for orders lost due to an incorrect address you supplied.
8. Cancellations & refunds
Before your order ships, you may cancel and receive a full refund of everything you paid. Contact us at said@beronel.com to cancel.
After your order ships, sales are final except where a shorter return right is required by law or where the Product arrives defective or is covered by the limited warranty in Section 9. Refunds are issued to the original payment method via Shopify; the time to appear in your account depends on your bank or card issuer.
9. Limited warranty
We warrant that the Product will be free from material defects in materials and workmanship under normal use for thirty (30) days from delivery, unless a longer period is required by the law of your jurisdiction. If the Product is defective within this period, we will, at our option, repair it, replace it, or refund the purchase price. This warranty does not cover damage from misuse, accident, normal wear, unauthorized modification, or use inconsistent with the Product's purpose.
10. Disclaimers
Except for the limited warranty in Section 9 and any rights that cannot be excluded under applicable law, the Product and website are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or damage to devices or property, arising out of or relating to the Product, the website, or these Terms. Our total aggregate liability for any claim will not exceed the amount you paid for the Product giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Product or the website or your violation of these Terms or of any law or third-party right.
13. Intellectual property
The nohup& name, logo, site content, designs, renders, and software are owned by us or our licensors and are protected by intellectual-property laws. You may not copy, reproduce, reverse-engineer, or create derivative works from them without our prior written permission. Purchasing the Product does not grant you any license to our intellectual property beyond ordinary use of the physical item you bought.
14. Acceptable use
You agree not to use the site to violate any law, infringe others' rights, place fraudulent orders, interfere with the site's operation, or attempt to gain unauthorized access to any systems. We may refuse or cancel any order we reasonably believe to be fraudulent or in breach of these Terms.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the latest version. Changes take effect when posted; the version in effect when you place an order governs that order. Your continued use of the site after changes are posted constitutes acceptance.
16. Governing law & disputes
These Terms are governed by the laws applicable where nohup& is established, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute informally by contacting said@beronel.com. Any dispute that cannot be resolved informally will be handled in the courts of that jurisdiction, and you agree to their exclusive venue to the extent permitted by law. Nothing in this section removes any mandatory consumer rights you have where you live.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Product and supersede prior understandings. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
